1. Acceptance of Terms
By engaging Impact Construction LLC ("Company," "we," "us," or "our") for any service—whether drywall installation, interior painting, full renovations, Guardian Plans, theater set construction, or in-home DIY training—you ("Client") agree to be bound by these Terms and Conditions. If you do not agree, please do not proceed with any service engagement.
2. Scope of Services
Impact Construction LLC provides the following services in West Haven and New Haven County, Connecticut:
• Drywall interior systems (metal framing, acoustical ceilings, fire-rated and mold-resistant panels, soundproofing, abuse-resistant boards)
• Interior painting and full renovations
• Guardian Plans (monthly home maintenance subscriptions — Guardian I, II, and III)
• Theater set construction for schools, drama departments, and content creators
• In-Home DIY Training (virtual Foundation Sessions, in-person Craftsman Experience, hybrid Impact Elite Program)
The specific scope of work for each project will be outlined in a written estimate or service agreement provided prior to commencement. Any work outside the agreed scope requires a written change order and may affect the project timeline and cost.
3. Estimates & Quotes
All estimates are based on information available at the time of assessment. Estimates are valid for 30 days from the date of issuance. Final pricing is confirmed in the executed service agreement. Significant changes in material costs, labor requirements, or project scope discovered during work may require a revised quote, which will be presented to the Client for approval before work continues.
4. Payment Terms
Payment is structured on a milestone basis as outlined in the individual service agreement. A deposit is required before work commences. Remaining payments are due upon completion of each agreed milestone.
Guardian Plan subscriptions are billed monthly on the date enrollment begins. Accepted forms of payment include check, electronic transfer, and other methods as agreed upon in writing.
Past-due balances beyond 15 days may incur a 1.5% monthly late fee. The Company reserves the right to pause or suspend work on any project with an outstanding unpaid balance. Client is responsible for any collection costs, including reasonable attorney's fees, incurred in recovering unpaid amounts.
5. Cancellation & Termination
Project Services: Either party may cancel a project engagement with written notice. Deposits are non-refundable if work has commenced. If the Company cancels without cause, any deposit paid for work not yet performed will be refunded within 10 business days.
Guardian Plans: Subscriptions may be cancelled with 30 days' written notice sent to [email protected]. No cancellation penalty applies after the third month of enrollment. Early cancellation within the first three months may result in a prorated fee reflecting services already rendered.
In-Home DIY Training: Cancellations made less than 48 hours before a scheduled session may forfeit the session fee. The Company will make reasonable efforts to reschedule at the Client's convenience.
6. Warranties & Quality Guarantee
Impact Construction LLC stands behind its workmanship. We provide a standard one-year workmanship warranty on all completed project work. This warranty covers defects in labor and installation resulting directly from our work. It does not cover damage caused by:
• Normal wear and tear
• Client modifications or alterations after project completion
• Water intrusion, structural movement, or events beyond our control
• Materials supplied directly by the Client
Additional warranty terms may be offered on a case-by-case basis and, when provided, will be specified in writing in the service agreement.
7. Limitation of Liability
Impact Construction LLC carries general liability, workers' compensation, and professional liability insurance. In the event of property damage or bodily injury attributable to our negligence, our liability is limited to the coverage provided under our active insurance policies.
To the fullest extent permitted by Connecticut law, the Company shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruption, arising from service delivery.
The Company is not responsible for pre-existing conditions not identified during the initial assessment, including hidden mold, structural deficiencies, or code violations discovered after work begins. Discovery of such conditions will be communicated to the Client immediately, and a change order may be required to address them.
8. Client Responsibilities
The Client agrees to:
• Provide safe, timely access to the work site during agreed hours
• Ensure the work area is clear of personal belongings and hazards prior to each work session
• Provide accurate information about the property, including any known structural, plumbing, or electrical concerns
• Obtain any required HOA approvals or building permits not included in the scope of work
• Make payments in accordance with the agreed milestone schedule
Failure to meet these responsibilities may result in project delays, additional charges, or suspension of services.
9. Permits & Compliance
Impact Construction LLC holds a Home Improvement Contractor License issued by the State of Connecticut and operates in compliance with applicable building codes and OSHA safety standards (OSHA 10 and OSHA 30 certifications maintained by our team).
Unless otherwise specified in the service agreement, the Client is responsible for obtaining all required building permits. The Company will assist by providing documentation as needed. Work performed under a permit will be subject to municipal inspection; the Client is responsible for scheduling and accommodating such inspections.
10. Intellectual Property & Media
Impact Construction LLC may photograph or document completed work for portfolio, marketing, and educational purposes. The Company will not disclose the Client's personal identity or address without written consent. Clients who participate in the Impact Elite Program or celebrity/brand engagements will be subject to a separate media and content release agreement.
All training materials, curriculum content, and proprietary documents provided during In-Home DIY Training sessions remain the intellectual property of Impact Construction LLC and may not be reproduced or distributed without written permission.
11. Youth Afterschool Trades Program
Enrollment in the Impact Construction LLC Youth Afterschool Trades Program is governed by a separate enrollment agreement which parents or guardians must sign on behalf of minor participants. All program participants and their guardians agree to adhere to program conduct standards, safety protocols, and scheduling commitments outlined in that agreement.
12. Dispute Resolution
In the event of a dispute arising from or related to these Terms or any service engagement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to binding arbitration in New Haven County, Connecticut, under the rules of the American Arbitration Association (AAA). Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
13. Governing Law
These Terms and Conditions are governed by the laws of the State of Connecticut, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in New Haven County, Connecticut.
14. Changes to These Terms
Impact Construction LLC reserves the right to update these Terms and Conditions at any time. Updated terms will be posted on our website at www.impactconstructionllc.org. Continued engagement of our services following a posted update constitutes acceptance of the revised terms. For active service agreements, changes will not apply retroactively without written consent from both parties.
